Terms of Service

1. Acceptance of terms

By creating an account, accessing, or using the Lumkey platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization. These Terms constitute a binding agreement between you and LUMKEY ("Lumkey", "we", "us", or "our").

2. Description of service

Lumkey provides a secure control plane and enforcement layer for AI agent access to model providers. The Service allows customers to issue governed access tokens ("Lumkey keys"), apply policy rules, audit request history, manage budgets, and route authorized traffic to providers such as OpenAI, Anthropic, Gemini, and others. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts and access

You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your account credentials and all activity that occurs under your account. You must notify us immediately at security@lumkey.dev if you suspect unauthorized access to your account. You may not share account credentials across multiple individuals unless using organizational access controls as designed within the Service. Each user should have their own account where the product supports it.

4. Acceptable use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to: — Use the Service to violate any applicable law or regulation. — Use the Service to facilitate unauthorized access to third-party systems, credentials, or data. — Attempt to reverse-engineer, decompile, or circumvent any security or access controls in the Service. — Use the Service in ways that would materially harm the operation, security, or availability of Lumkey or its customers. — Resell or sublicense access to the Service without written permission. — Transmit content that is illegal, fraudulent, or infringes the rights of others through the Service. We reserve the right to suspend or terminate access for violations of this section without prior notice.

5. Provider credentials and customer secrets

When you add a provider credential to Lumkey, you authorize Lumkey to store that credential in protected form and use it to make upstream API calls on your behalf when authorized by your policy configuration. You remain responsible for your provider credentials and ensuring your use of third-party model providers complies with those providers' terms and policies. You represent that you have the right to provide any credentials or data you submit to the Service. Lumkey is not responsible for consequences arising from incorrect, unauthorized, or expired credentials you provide.

6. Plans, billing, and payment

Lumkey offers Free, Family, Pro, and Enterprise plans. Paid plan features and pricing are described at lumkey.dev/pricing. By providing payment information and subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis as described at checkout. All fees are non-refundable except where required by applicable law or as expressly stated in an enterprise contract. We may change plan pricing with 30 days' notice for existing subscriptions. Your continued use after the effective date constitutes acceptance of the new pricing. Free plan usage is subject to rate limits and volume caps as described on the pricing page. We may adjust free plan limits at any time.

7. Data and privacy

Our collection and use of your data is governed by our Privacy Policy at lumkey.dev/privacy, incorporated into these Terms by reference. You retain ownership of data you submit to the Service, including policy configurations, audit logs, and organizational data. By using the Service, you grant Lumkey a limited license to process your data as necessary to operate and provide the Service. For customers on Enterprise plans, a Data Processing Agreement ("DPA") is available upon request.

8. Intellectual property

The Lumkey platform, including its software, design, documentation, and branding, is owned by LUMKEY and protected by intellectual property law. These Terms do not grant you any ownership rights in the Service. You may not use Lumkey's name, logo, or trademarks without prior written consent. Feedback, suggestions, or ideas you submit to us may be used by Lumkey without obligation to you.

9. Uptime and service levels

We aim to maintain high availability for the Lumkey platform. Specific uptime commitments and SLA terms are available to Enterprise customers under a separate written agreement. For Free and Pro customers, we provide the Service on an "as available" basis. Planned maintenance will be communicated in advance where practicable.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LUMKEY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMKEY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL LUMKEY'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LUMKEY IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS. IN SUCH CASES, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lumkey and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any law or third-party rights; or (c) your provider credentials or data submitted to the Service.

13. Termination

Either party may terminate this agreement at any time. You may close your account through the dashboard settings. We may suspend or terminate your access for violations of these Terms, non-payment, or extended inactivity on free accounts. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy and any applicable enterprise contract terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for claims involving intellectual property or confidentiality. You waive any right to participate in class action litigation or class-wide arbitration.

15. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new effective date and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
